Terms and Online payment disclaimer are governed by the Laws of India. These Terms constitute an
electronic record in terms of the Information Technology Act, 2000 and rules thereunder. By
accessing or using the Website, the User hereby agrees to be legally bound by these Terms, as
amended from time to time. If the User does not agree to abide by these Terms for any reason,

1. For the convenience of our clients, VCATS accepts all credit cards for payment of
membership fees and invoices. To offer this service, we have partnered with Razorpay. By
clicking on the link "Be a Member/Pay Now", User or Investor member are accepting this
Disclaimer and automatic redirection to a third party website for the payment of membership. The
website of ((https://pages.razorpay.com/vcatsmembershipfee ) (hereinafter "Third Party Website")
using which ‘User/Investor member’ may make payments. The Website is not owned, controlled or
endorsed by VCATS, its affiliates, subsidiaries, and each of their employees, officers,
directors, personnel or agents.
2. VCATS does not warrant the accuracy or completeness of the services, information,
materials, tools or the reliability of any service, advice, opinion, statement or other
information displayed or distributed through the Website. Further, the User/ Investor member are
advised to make their own enquiries and arrangements to verify, scan and check the Website for
any viruses, malicious code or malware, and that VCATS provides no warranties whatsoever in this
regard.
3. User/ Investor understands and acknowledges that their access of the Website or availing
of any services offered on the Website or reliance on any opinion, statement, or information
available on the Website shall be at User’s/ Investor’s sole risk. The information and services
available on the Website is subject to change, deletion, updation, revision, verification and
amendment without any notice and such services and information may change materially at any
time, and you agree and accept the same.
4. VCATS expressly disclaims any and all liability or responsibility whatsoever with
respect to the Website, User/ Investor access, including, but not limited to any information
displayed or distributed on/ by the Website, deficiency in services of Website, failure /
disruption / inability to access the Website, failure to make payments, technical errors, loss
or theft of data, erroneous submission of data or information, or any virus, malware or phishing
attacks, whether or not resulting from any act or omission of VCATS, or website or any other
party involved in the functioning of the Website or in the services contained therein.
5. Payments made using the Website may ordinarily take 2 business days to reach VCATS and
will be recorded by VCATS only as on the date they are fully received by VCATS from the Website.
A business day shall end at 19:00 hrs. - Monday to Friday (excluding weekends and public
holidays).
6. VCATS offers you multiple payment methods. Whatever online mode of payment, the
User/Investor member want to use they can rest assured that VCATS trusted payment gateway
partners use secure encryption technology to keep your transaction details confidential at all
times. A User/Investor member may use Internet Banking, Debit Card, Visa, MasterCard, Maestro
and American Express credit/debit cards in India and Credit Card to make payment towards its
membership fees.
7. VCATS requests its User/Investor member to read the terms, conditions and disclaimers of
such Third Party Website before accessing services or products offered by such Third Party
Website. The use of any service, products or information hosted in the Third Party Website is at
your sole risk, liability and discretion. Neither VCATS nor any of its directors, employees,
officers and / or agents shall be liable for any direct, indirect, incidental, special or
consequential loss or damages (including, without limitation for loss of profit, business
opportunity or loss of goodwill) whatsoever, whether in contract, tort, misrepresentation or
otherwise arising from the use of such linked Third Party Website.
8. VCATS shall not be responsible and held liable in any manner, for any double/ multiple
payments and Bank rejecting the payment amount because of incorrect or incomplete entries.
9. VCATS membership fee once paid is non-refundable.
10. User(s) shall also have an option to make investment(s) through ZNL Growth Fund Scheme
1, a Scheme of Z Nation Lab Growth Fund. Z Nation Lab Growth Fund a contributory determinate
trust setup under the Indian Trusts Act, 1882 and registered as an angel fund being a
subcategory of venture capital funds, which is one of the sub-categories of Category I
Alternative Investment Funds, under the Securities and Exchange Board of India (Alternative
Investment Funds) Regulations 2012. In the event if the User(s) chooses to invest through this
angel fund, then the minimum amount of investment for each User(s) or investor(s) shall be INR
25,00,000 (Indian Rupees twenty-five lakhs Only). Provided that the same is subject to
modification or variation on a case-to-case basis. Further, the User(s) investing through the
angel fund shall: (i) adhere to know your client (KYC) norms as required; (ii) execute a
contribution agreement to regulate acceptance and disbursal of capital contributions and the
distribution of income, gains and proceeds thereon; and (iii) be subject to specific percentage
of carry which may vary based on the minimum investment amount so invested by the User.

12. This disclaimer and all disputes and claims in connection with this disclaimer shall be
governed by the substantive and procedural laws of India and the Payment and Settlements Systems
Act (PSS), 2007, without regard to its conflict of law’s provisions and shall be exclusively
decided in India.
13. In addition to the payment terms and conditions contained in other/earlier sections of
the Website, the User/Investor member also agrees and acknowledges for receiving latest updates,
information and communication on regular basis from VCATS over WhatsApp and phone.
